By using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to use the Service.
You must be at least eighteen (18) years old to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement.
In order to use certain features of the Service, you may need to register for an account with us. You agree to provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account, whether or not authorized by you. You agree to immediately notify us of any unauthorized use, or suspected unauthorized use, of your account or password. We reserve the right to terminate or suspend your account and refuse any and all current or future use of the Service if we suspect that your account has been compromised or used in violation of these Terms.
Certain features of the Service may require payment before they can be accessed. If you choose to subscribe to one of our paid plans, you agree to pay the applicable fees and taxes. All payments must be made in advance and are non-refundable, except as otherwise provided in these Terms. We reserve the right to change our prices and billing methods at any time, and such changes will become effective upon posting on the Service.
The Service allows you to upload, submit, store, send, receive, and share content, including but not limited to text, images, audio, video, and other materials (collectively, "User Content"). You retain ownership of any User Content that you create and post on the Service, subject to the licenses granted below. By submitting User Content to the Service, you grant us a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to copy, distribute, modify, create derivative works based on, publicly display, publicly perform, and otherwise exploit your User Content in connection with the operation and promotion of the Service. You also grant us the right to authorize others to exercise any of the rights granted to us under this section. You further agree that we may remove or disable access to any User Content at any time without notice, for any reason or no reason, and that we have no obligation to return or restore any User Content to you.
We do not use the Mobile Applications to knowingly solicit data from or market to children under the age of 13. If a parent or guardian becomes aware that his or her child has provided us with information without their consent, he or she should contact us at privacy@micromanage.comWe will delete such information from our files within a reasonable time.
You agree not to engage in any of the following prohibited conduct while using the Service:
- Using the Service for any illegal or unauthorized purpose;
- Harassing, threatening, intimidating, defaming, impersonating, or stalking any person or entity;
- Infringing, violating, or misappropriating any intellectual property, privacy, publicity, or other legal rights of any third party;
- Uploading, transmitting, or distributing any viruses, worms, malware, ransomware, spyware, adware, or other harmful code or programs;
- Interfering with or disrupting the integrity or performance of the Service or any data contained therein;
- Attempting to gain unauthorized access to the Service or its related systems or networks;
- Modifying, reverse engineering, decompiling, disassembling, or hacking into any part of the Service;
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL CODE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, RESULTING FROM OR RELATED TO THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall our total liability for damages arising from or relating to the Service exceed $100. Some jurisdictions do not allow the limitation of liability for personal injury, or of incidental or consequential damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Micro Management Software Inc., its officers, directors, employees, agents, affiliates, successors, and assigns, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms; (b) your use of the Service; (c) your violation of any law, regulation, or third-party rights; or d) Your User Content. We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.
We reserve the right, at any time, to amend these Terms. Any such changes will be effective immediately upon being posted on this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. You irrevocably consent to the exclusive jurisdiction and venue of the state or federal courts located in San Francisco County, California, for any disputes arising out of or related to these Terms or the Service.
These Terms constitute the entire agreement between you and Micro Management Software Inc. regarding the use of the Service, superseding any prior agreements, understandings, negotiations, and discussions, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, then that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect. The failure of either party to enforce any provision of these Terms does not waive that party's right to subsequently enforce such provision.
